EULA

This End-User License Agreement ("EULA") is an agreement between you and Magshield Products International Pty Ltd ("Magshield"). By using the EMF Calculator and accompanying user documentation (the "software"), you are indicating your acceptance of all the terms and conditions of this EULA. If you do not agree to any of the terms or conditions of this EULA, do not use the software.

COPYRIGHT

The software is owned by Magshield, and is protected by Australian copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The software is licensed, not sold. All rights not explicitly granted under this EULA are hereby reserved.

FAIR USE

Individual user accounts should not be used by more than one user at a time. If you are on a time-based subscription (such as a monthly or yearly payment scheme), then the number of calculations unertaken using the account must fall within the boundaries of 'fair use'. The number of calculations covered within 'Fair use' will be part of your subscription details supplied at the time of the account being created.

WARRENTY AND LIABILITY

Magshield gives no warranty or undertaking as the suitability of the software for your purposes. While all reasonable efforts are made to avoid the software causing damage or being misleading, Magshield will not be responsible for any loss, damage or inconvenience caused by inaccuracies in the software and its data.

WARRENTY

The software is provided "AS IS" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, or noninfringement. The entire risk arising out of use or performance of the software remains with you.

LIMITATION OF LIABILITY

Magshield shall not be liable for any special, incidental, indirect or consequential damages arising out of the use, or inability to use the software. In any case, Magshield's cumulative liability shall not exceed the amount paid by you for the software. Some states do not allow the exclusion or limitation of liability, so the above may not apply to you.

PAYMENT OF ACCOUNT

The employer registered as the employer of a registered user is liable to settle the monthly invoice covering usage for the user, within the timeframe indicated on the invoice.

APPLICABLE LAW

To the extent possible under applicable law, this Agreement shall be governed by the laws of the Commonwealth of Australia and shall be subject to the non-exclusive jurisdiction of the Australian courts.
